Dear AKUAANA Members,
On behalf of the Executive Council, we are pleased to share the proposed amendments to the AKUAANA Constitution and Bylaws.
These amendments have been reviewed and approved by the Executive Council. In addition, the Board of Advisors (BOA) Chair, Aqueel Pabaney, has reviewed and approved the amendments and has communicated the same to BOA members. We are grateful for the thoughtful input and guidance provided throughout this process.
The proposed amendments aim to strengthen organizational governance, enhance leadership continuity, and align AKUAANA with evolving best practices for nonprofit organizations.
Key objectives of these amendments include:
- Establishing a structured leadership continuity model, including:
- a defined two-year term for the Immediate Past President
- introduction of a six-month President-Elect preparatory role (non-voting)
- Enhancing clarity in Executive Council structure and roles, ensuring consistency and transparency in governance
- Strengthening succession planning and operational continuity, including defined provisions for interim leadership
- Formalizing Secretary responsibilities, including serving as Acting President (limited scope) for representation at external council meetings when needed
- Incorporating a fiduciary duty clause, reinforcing the responsibility of all officers, advisors, and committee members to act in the best interests of AKUAANA and in alignment with nonprofit governance standards
We encourage all members to review the full redlined version of the amended Constitution and Bylaws, which has been shared for your consideration.
A vote for approval will be conducted at the upcoming AKUAANA Annual General Body Meeting on July 3rd, 2026. Details regarding timing and voting will also be shared via email and social media.
